These Partner Program Terms & Conditions ("Program Terms") govern your participation in the FurnishMate Partner Program (the "Program"), operated by FurnishMate Tech Private Limited ("Nexus", "we", "us", or "our").
These Program Terms are incorporated into and form an integral part of our Terms of Service. By enrolling or participating in the Program, you acknowledge that you have read, understood, and agreed to be bound by these Program Terms in addition to our Terms of Service and Privacy Policy.
1. Eligibility
To be eligible to participate in the Program, you must:
- Be at least 18 years of age and legally capable of entering into binding contracts.
- Maintain an active FurnishMate account in good standing with no unresolved security or billing violations.
- Operate a verified furnishing, retail, interior design, manufacturing, or related business entity.
- Comply with all applicable local, state, and national laws and regulations at all times.
Nexus reserves the right to accept, decline, suspend, or terminate any application or account in the Program at its reasonable discretion.
2. Participation & Referral Identification
Upon enrollment in the Program, eligible partners may receive unique partner identifiers, including partner referral codes and/or digital referral links.
You may share your partner link or code with prospective businesses and industry peers. All partner identifiers remain the property of Nexus and may be modified, suspended, or reissued if reasonably necessary for technical, operational, or anti-fraud reasons.
3. Referral & Commission Rules
A referral is deemed a qualifying referral only when:
- A prospective business registers a new FurnishMate account using your valid partner code or link.
- The referred business completes required onboarding and verification steps.
- The referred business successfully activates an eligible paid subscription or qualifying transaction.
- Payment has been confirmed, settled, and passed all fraud-prevention checks.
Referral rewards or commission benefits are not earned solely upon code submission. Rewards are confirmed only after Nexus verifies that all qualifying criteria have been satisfied.
4. Partner Responsibilities
As a participant in the Program, you agree to:
- Represent FurnishMate and its platform honestly, accurately, and professionally.
- Not engage in spam, misleading advertising, or unethical marketing practices.
- Not represent yourself as an employee or official agent of Nexus.
- Promptly notify Nexus of any suspected unauthorized use or security issues related to your partner codes.
5. Rewards, Credits & Payments
Rewards, bonus subscription days, discounts, or referral credits are credited in accordance with the active program terms or campaign parameters in effect when the qualifying referral is approved.
- Subscription extension credits are applied directly to your organization's active account.
- Unless expressly stated in writing, referral rewards and credits have no cash redemption value, are non-transferable, and cannot be resold.
- Where monetary commissions or fee-sharing arrangements are agreed upon in writing, payments are disbursed subject to applicable tax deductions (TDS where applicable), minimum payout thresholds, and receipt of valid invoicing or payment details.
6. Prohibited Activities & Fraud Prevention
Partners must conduct all referral activities ethically. Prohibited activities include, but are not limited to:
- Self-referrals, including referring affiliated entities, subsidiaries, or accounts under common beneficial ownership.
- Creating fictitious accounts, shell businesses, or submitting fabricated registration information.
- Sending unsolicited commercial messages (spam) via email, SMS, or automated messaging channels.
- Bidding on FurnishMate brand names, trademarks, or confusingly similar keywords in paid search advertising.
- Posting referral links on public coupon directories or deal-scraping aggregators without prior written approval.
- Making false, deceptive, or exaggerated claims regarding FurnishMate features, pricing, or capabilities.
Nexus reserves the right to withhold, cancel, or reverse rewards and suspend accounts found to be in violation of these rules.
7. Termination & Suspension
Either party may terminate participation in the Program at any time with or without cause upon notice.
Nexus may immediately suspend or terminate your partner access if you breach these Program Terms or our Terms of Service. Upon termination, your right to use partner referral identifiers ceases immediately. Accrued and validated rewards earned prior to termination for cause will be handled in accordance with applicable law.
8. Limitation of Liability
To the maximum extent permitted by law, Nexus shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Program. Nexus makes no express or implied warranties regarding continuous uptime, revenue expectations, or customer conversion rates.
9. Program Changes
Nexus reserves the right to update, modify, or discontinue the Partner Program, reward structures, or these Program Terms. Material updates will be communicated through the platform or official email notices. Continued participation in the Program following any update constitutes acceptance of the revised terms.
